These Terms and Conditions ("Terms") are a binding agreement between you and Rosa Fiora governing the website, orders, floral products, delivery, subscriptions, custom work, chat, and related services. By accessing the website, submitting an order, or using a service, you represent that you are legally capable of entering a contract and agree to these Terms, our Privacy Policy, and our Delivery Policy. If you do not agree, do not use the services.

An order submission and payment authorization are offers to purchase, not acceptance by Rosa Fiora. An order becomes binding only when we accept it for fulfillment. Automated confirmations acknowledge receipt but do not guarantee availability, design, delivery time, or acceptance.

We may refuse, limit, hold, modify, or cancel an order before fulfillment for unavailable materials, delivery limitations, pricing or description errors, incomplete or inaccurate information, suspected fraud, safety concerns, abusive conduct, force majeure, or other legitimate business reasons. If we cancel an accepted paid order for reasons not attributable to you, our obligation is limited to refunding the amount collected for the canceled portion.

Flowers and plants are natural, seasonal, perishable, and individually variable. Website images are representative of design direction and do not constitute a guarantee of exact stems, shade, bloom openness, stem count, height, shape, vessel, wrapping, ribbon, texture, or arrangement geometry. Lighting and screens may also affect color appearance.

Arrangement size is based on the selected product tier, overall visual presence, materials, and design value—not a guaranteed number of stems. Handcrafted arrangements will vary from photographs and from one another. Such reasonable variation is inherent in floral design and is not a defect or nonconformity.

Availability changes daily due to seasonality, market conditions, quality standards, weather, transportation, and supplier limitations. You expressly authorize Rosa Fiora and its florists to substitute flowers, foliage, filler, color shades, containers, packaging, ribbon, and decorative elements without prior approval when reasonably necessary to fulfill the order on time.

Substitutions may include a different flower variety or focal flower and may change individual colors, textures, or stem counts. We will use professional floral judgment and commercially reasonable efforts to preserve the arrangement's overall design character, primary palette, occasion, approximate size, and equal or greater retail value. During holidays or severe supply constraints, preservation of value and overall impression takes priority over exact varieties.

A substitution consistent with this section is authorized performance and does not qualify as an incorrect order, defect, or basis for refund, replacement, chargeback, or price adjustment. If a particular flower, color, container, or material is essential, you must contact us before ordering and obtain our express written confirmation; notes or preferences submitted without written confirmation are not guarantees.

Prices are stated in U.S. dollars and may change without notice. Taxes, delivery charges, service fees, and optional items are shown where applicable. Payment authorization and successful collection are required before fulfillment. You authorize us and our payment processors to charge the amounts shown at checkout.

We may correct pricing, description, availability, or calculation errors and may cancel an affected order. If a corrected price is higher after payment, we will request approval before charging the difference or cancel and refund the affected order.

Promotions, discount codes, credits, and offers are subject to stated conditions, availability, expiration, exclusions, and verification. Unless expressly stated otherwise, they cannot be combined, exchanged for cash, applied retroactively, transferred, or used fraudulently. We may suspend or revoke an offer obtained through error, misuse, duplication, or abuse.

Same-day service is available only for eligible products, dates, addresses, and capacity. Cutoff times are estimates and may change. A requested or displayed delivery window is not a guarantee unless expressly confirmed in writing by Rosa Fiora. Orders submitted after a cutoff or during capacity constraints may be offered for another date or canceled and refunded if we cannot fulfill them.

Our Delivery Policy is incorporated into these Terms. Delivery depends on accurate information, recipient availability, access, weather, traffic, safety, and third parties. Delivery is complete when the arrangement is handed to the recipient or an authorized or reasonably appropriate person, or is left in a reasonably safe location consistent with the Delivery Policy. Risk of loss, deterioration, theft, heat exposure, or damage passes upon completed delivery to the fullest extent permitted by law.

You are responsible for accurate customer and recipient names, telephone numbers, email, complete address, apartment or suite, gate code, business or hotel details, delivery date, access instructions, and card message. You must ensure the recipient and delivery location can lawfully receive the product.

Additional charges may apply for corrections, rerouting, waiting, return, storage, re-delivery, or additional attempts. Orders affected by customer error, refusal, recipient unavailability, or restricted access are not refundable except where required by law.

Change and cancellation requests are not effective until accepted by Rosa Fiora in writing. We may accept them only before sourcing, design, preparation, scheduling, or dispatch begins. Same-day, holiday, custom, event, wedding, personalized, and special-order purchases may become non-cancelable immediately upon acceptance.

Approved changes may alter price, delivery availability, or timing. We may charge for work performed, materials committed, payment-processing costs where lawful, and other nonrecoverable expenses.

Because floral products are perishable, custom-prepared, and time-sensitive, all sales are final once sourcing, preparation, design, scheduling, dispatch, or delivery has begun, except where non-waivable law requires otherwise.

If an arrangement is not delivered due solely to our error, arrives materially damaged at the moment of delivery, or materially fails to conform to the accepted order for reasons other than authorized substitution or natural variation, you must notify us within 24 hours after delivery or the scheduled delivery time. The claim must include the order number, purchaser name, a detailed description, and clear photographs of the full arrangement and alleged issue taken promptly after receipt. You must preserve the arrangement and packaging and provide additional evidence reasonably requested.

Failure to provide timely notice and evidence may result in denial because perishable condition cannot be reliably verified later. After investigation, our exclusive remedy, at our election, may be a replacement, partial replacement, repair, store credit, partial refund, or refund of the affected item. Cash refunds are not guaranteed. We may require return or pickup of the original item. Replacement timing depends on availability and delivery capacity.

No refund or replacement is available for change of mind; subjective dislike; minor shade, size, shape, stem-count, or design differences; natural variation; authorized substitution; recipient absence or refusal; inaccurate information; access restrictions; post-delivery mishandling; failure to follow care instructions; allergies; weather or traffic delay outside our reasonable control; theft after delivery; or expected vase-life variation. Nothing in this section limits rights that cannot legally be waived.

Inspiration images and custom requests communicate mood and design direction; they are not exact-copy services or guarantees. Final work depends on budget, seasonality, availability, safety, copyright and privacy considerations, and florist judgment. We may decline content or requests that are unlawful, unsafe, infringing, misleading, or operationally impracticable.

Online flower subscriptions renew at the amount and interval shown before payment approval until paused or canceled. Your first payment reserves the selected first delivery. Weekly plans renew weekly; birthday plans renew annually. Each birthday recipient has a separate plan and payment approval. Sign in at rosafiora.com/subscription to view plans, update eligible future delivery details, and pause or cancel future renewals. Cancellation stops future renewals; it does not automatically cancel or refund already-paid deliveries. Contact hello@rosafiora.com for changes to an already-paid delivery. A different bouquet or price requires a new plan and your payment approval. These online subscription cancellation terms take precedence over the general cancellation language above for future renewals.

Events, weddings, installations, and large custom orders may require a separate proposal or agreement, deposits, minimum spend, deadlines, venue access, teardown fees, and separate cancellation terms. If a signed agreement conflicts with these Terms, the signed agreement controls for that service. A consultation, quote, or request does not reserve a date.

Flowers and plants are not intended for consumption. Some products may be toxic, allergenic, irritating, contain pollen, thorns, wires, floral foam, preservatives, or small decorative parts, and may be unsafe for children or pets. You and the recipient are responsible for placement, handling, supervision, allergies, pet safety, and following care instructions. Rosa Fiora does not provide medical, veterinary, or botanical-safety advice.

You authorize transactional communications reasonably necessary for orders, payment, fraud prevention, delivery, substitutions, and support, including communications with the recipient. Marketing communications are subject to applicable consent and opt-out rights. Message and data rates may apply.

The website, branding, product names, designs, photographs, text, graphics, software, and arrangement presentations are owned by or licensed to Rosa Fiora and are protected by law. You may use the website only for lawful personal purchasing and may not copy, scrape, reproduce, reverse engineer, interfere with, exploit, or commercially use content without written permission.

By submitting reviews, messages, images, or other content, you represent that you have the necessary rights and grant Rosa Fiora a nonexclusive, worldwide, royalty-free license to host, process, reproduce, and use that content as necessary to provide the requested service, operate the business, enforce rights, and comply with law.

Payment processors, delivery providers, maps, analytics, advertising, artificial-intelligence services, and external links are operated by third parties. To the fullest extent permitted by law, Rosa Fiora is not responsible for third-party availability, acts, omissions, security, content, or terms, except to the extent responsibility cannot lawfully be excluded.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE, CONTENT, RECOMMENDATIONS, PRODUCTS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." ROSA FIORA DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, EXCEPT FOR WARRANTIES THAT CANNOT LEGALLY BE DISCLAIMED.

TO THE FULLEST EXTENT PERMITTED BY LAW, ROSA FIORA AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, EMOTIONAL, REPUTATIONAL, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, DATA, OPPORTUNITY, OR GOODWILL; OR DAMAGES ARISING FROM DELAY, NONDELIVERY, SUBSTITUTION, THIRD PARTIES, OR USE OF THE WEBSITE.

TO THE FULLEST EXTENT PERMITTED BY LAW, TOTAL AGGREGATE LIABILITY ARISING FROM A PRODUCT OR ORDER WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO ROSA FIORA FOR THE SPECIFIC AFFECTED PRODUCT OR ORDER. Some jurisdictions do not allow certain exclusions, so portions may not apply to you.

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Rosa Fiora and its owners, personnel, contractors, and providers from claims, losses, liabilities, damages, and reasonable costs arising from your unlawful use of the services, breach of these Terms, inaccurate information, uploaded content, violation of another person's rights, or instructions concerning a recipient or delivery location.

Rosa Fiora is not liable for delay, substitution, modification, or failure caused by events beyond reasonable control, including severe weather, natural disaster, flood, fire, epidemic, government action, road closure, labor or supplier disruption, transportation failure, utility or network outage, civil disorder, safety threat, or extraordinary market shortage. We may suspend, reschedule, substitute, or cancel affected performance.

Before filing a claim, you agree to provide written notice describing the dispute and allow 30 days for good-faith informal resolution. These Terms are governed by Florida law, without regard to conflict-of-law principles. Subject to applicable law, exclusive venue lies in state or federal courts located in Miami-Dade County, Florida, and each party consents to personal jurisdiction there.

If any provision is unenforceable, it will be limited or severed to the minimum extent necessary and the remainder will continue. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with our business. Headings are for convenience only. These Terms, incorporated policies, and any applicable signed agreement constitute the entire agreement concerning their subject matter.
